Services Contract
This Services Contract ("Agreement") is made and entered into as of 4th May 2024, by and between Spredo, a limited company organised and existing under the laws of the United Kingdom, with its principal place of business located at 25 Holland Road, London, W148HJ ("Service Provider"), and [Client's Company Name], a [Client's Company Type, e.g., Corporation] organised and existing under the laws of [Client's Location], with its principal place of business located at [Client's Address] ("Client").
1. Services
The Service Provider agrees to provide the Client access to its SaaS platform designed to help Web3 companies increase sales and/or any additional services selected by the Client, including marketing, advertising, sponsorships, consulting, design services, bots, and data analysis ("Services").
2. Technical Support and Service Delays
2.1. Technical Support: The Service Provider shall provide full technical support to address any concerns that arise related to the Services during the term of this Agreement. Technical support will be available via telegram and video calls in the UK work hours.
2.2. Service Delays: There may be reasonable delays in the provision of Services, up to one week, if additional data collection or processing is required for the delivery of the Service. The Service Provider commits to informing the Client promptly of any anticipated delays and to work diligently to minimise any disruptions.
3. Payment Terms
The Client agrees to pay the Service Provider in the amount and on the schedule pre-agreed in private. All payments are due within 2 days of the invoice date.
4. Refund Policy
If the Service Provider fails to deliver the Services as agreed and the failure is not remedied within 30 days after the Client's notification of the deficiency, the Client is eligible for a full refund of any payments made for the undelivered Services.
5. Term and Termination
This Agreement shall commence on the date first above written and continue in effect until terminated by either party upon 7 days written notice to the other party. If the Client is using the SaaS platform, then payments shall be made on the day first above written each month until the contract is terminated.
6. Confidentiality
Each party agrees to maintain the confidentiality of information shared during the course of this Agreement and to use such information only for purposes related to the execution of this Agreement.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of the United Kingdom.
8. General Provisions
This Agreement constitutes the entire agreement between the parties concerning its subject matter and supersedes all prior agreements and understandings. Any amendments to this Agreement must be in writing and signed by both parties.
